Stealth Health Terms of Use

IMPORTANT – PLEASE READ CAREFULLY. These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and the applicable Stealth Health entity described in Section 1 below (collectively, "Stealth Health," "we," "us," or "our"). These Terms govern your access to and use of our websites, mobile applications, telemedicine platform, and all related services (collectively, the "Services").
By creating an account, booking a consultation, purchasing a product, or otherwise accessing the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not use the Services.
1. Contracting Entities
Stealth Health operates in both Canada and the United States through separate legal entities. Your contractual relationship depends on your location:
- Canada: If you are located in Canada, your agreement is with Stealth Health Inc., a corporation incorporated under the laws of the Province of Ontario, Canada.
- United States: If you are located in the United States, your agreement is with Stealth Health Holdco, LLC, a limited liability company organized under the laws of the State of Delaware, USA.
References to "Stealth Health" throughout these Terms refer to the applicable entity based on your jurisdiction.
2. Eligibility
To use the Services, you must:
- Be at least 18 years of age, or the age of majority in your province, state, or territory of residence, whichever is greater.
- Reside in a jurisdiction where our Services are available and legally permitted.
- Not be barred from using telehealth or telemedicine services under applicable federal, state, provincial, or territorial law.
- Be capable of forming a legally binding agreement under applicable law.
If you are using the Services on behalf of another individual (for example, a dependent minor for whom you are the legal guardian), you represent and warrant that you have the legal authority to bind that individual to these Terms and to consent to telehealth services on their behalf.
3. Description of Services
Stealth Health is a telemedicine platform that connects you with licensed, independent healthcare providers ("Providers") for virtual consultations and related healthcare services, including but not limited to:
- Telemedicine Consultations: Providers may evaluate symptoms, render diagnoses, recommend treatment plans, and prescribe medications via video, audio, or asynchronous messaging, as permitted by applicable law.
- Prescriptions and Pharmaceutical Products: Where clinically appropriate, Providers may prescribe medications, including compounded pharmaceuticals, which may be fulfilled by licensed third-party pharmacies or compounding pharmacies. Stealth Health does not itself dispense medications.
- Wellness and Longevity Services: We may offer access to wellness programs, longevity medicine protocols, lab testing, supplements, and related health optimization products and services.
- White-Label and Enterprise Services: Stealth Health may provide its platform on a white-label or enterprise basis to third-party healthcare organizations. Your use of Services accessed through a third-party partner may be subject to additional terms imposed by that partner.
Emergency Notice
The Services are intended for non-emergency medical needs only. If you are experiencing a medical emergency, call 911 (in the U.S.) or 911 / your local emergency number (in Canada) immediately. Stealth Health is not equipped to handle emergencies.
We do not guarantee the availability of Services at all times and reserve the right to modify, suspend, or discontinue any part of the Services at our discretion, with reasonable notice where practicable.
4. Informed Consent to Telehealth Services
By using the Services, you acknowledge that you have reviewed and agreed to our Telehealth Informed Consent, presented separately during account registration, and you further acknowledge and consent to the following:
- Telemedicine involves the delivery of healthcare services using electronic communications, information technology, or other means between a Provider and a patient who are not in the same physical location.
- Telehealth offers potential benefits including: increased access to licensed healthcare providers regardless of geographic location; reduced barriers to care including travel time, wait times, and scheduling constraints; care delivered in the privacy of your own environment; and the ability to receive evaluation and treatment for conditions that can be appropriately managed remotely.
- You understand that telemedicine has potential risks, including but not limited to: the possibility that information transmitted may not be sufficient for appropriate medical decision-making; delays in evaluation or treatment due to technology failures; and the possibility that a lack of access to your complete medical records could result in adverse interactions or allergic reactions.
- Your treating provider's name, credentials, and state of licensure will be available in your Appointment Details on the patient dashboard once your consultation is assigned and reviewed.
- By proceeding, you confirm that the state you provided during registration accurately reflects your location at the time healthcare services are delivered to you.
- You have the right to withdraw your consent to telehealth services at any time without affecting your right to future care.
- Your Provider may determine that your condition is not suitable for telemedicine and may refer you to in-person care.
- The laws that protect the confidentiality of health information apply to telemedicine consultations to the same extent as they apply to in-person consultations.
- If a scheduled video consultation is interrupted due to a technical issue, please contact us at support@stealth.health to reschedule. In a medical emergency, call 911 immediately.
- Stealth Health currently provides consultations via secure video. If audio-only (telephone) services are offered or required, you will be asked to provide separate consent prior to that encounter.
5. User Responsibilities
As a condition of using the Services, you agree to:
- Provide Accurate Information: You will provide complete, accurate, and current information about your identity, medical history, symptoms, current medications, allergies, and any other information relevant to your care. You understand that providing inaccurate or incomplete information may be dangerous to your health.
- Personal Use of Prescriptions: Any medication prescribed through the Services is for your personal use only. You will not share, sell, transfer, or otherwise distribute prescribed medications.
- Follow Provider Instructions: You will take prescribed medications and follow treatment plans as directed by your Provider. You will report any side effects, adverse reactions, or changes in your condition promptly.
- Seek Emergency Care When Needed: You will seek immediate in-person medical or emergency care if you experience serious or concerning side effects, allergic reactions, or any worsening of your condition.
- Update Health Information: You will promptly update Stealth Health and your Provider regarding any material changes to your medical history, medications, allergies, or health status.
- Coordinate with Other Providers: You are responsible for informing your primary care provider or other healthcare professionals about treatments, diagnoses, or prescriptions received through the Services.
- Maintain Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You will notify us immediately of any unauthorized use.
- Comply with Applicable Laws: You will use the Services only for lawful purposes and in compliance with all applicable federal, state, provincial, and local laws.
Failure to comply with these responsibilities may result in suspension or termination of your access to the Services.
6. Healthcare Provider Relationship
Providers available through Stealth Health are independent healthcare professionals who are licensed in the jurisdictions where they practice. Providers are not employees, agents, or representatives of Stealth Health. Stealth Health does not practice medicine; it provides the technology platform and administrative support that enables Providers to deliver care.
Providers are responsible for:
- Delivering care in accordance with applicable professional standards and legal requirements.
- Exercising independent clinical judgment in diagnosing conditions and prescribing treatments.
- Maintaining applicable licenses, certifications, and regulatory compliance.
- Protecting the confidentiality of your health information in accordance with applicable law.
You understand and agree that all clinical decisions, including diagnoses, treatment plans, and prescriptions, are made solely by the treating Provider. Stealth Health does not control, direct, or influence the clinical judgment of any Provider.
7. Fees, Payment, and Subscriptions
- 7.1 Fees: Certain Services require payment, including consultation fees, subscription fees, and product purchases. All applicable fees will be displayed prior to purchase or booking and are quoted in the applicable local currency (CAD for Canadian users; USD for U.S. users) unless otherwise specified.
- 7.2 Payment Authorization: By providing a payment method, you authorize Stealth Health (or our third-party payment processor) to charge the applicable fees to your payment method. You represent that you are authorized to use the payment method provided.
- 7.3 Subscriptions and Auto-Renewal: If you subscribe to any recurring Services, your subscription will automatically renew at the end of each billing period at the then-current rate unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings or by contacting support. Cancellation will take effect at the end of the current billing period.
- 7.4 Refunds: Refund eligibility is determined on a case-by-case basis. Consultations that have been completed are generally non-refundable. For products that have been shipped, refund and return policies applicable to those products will apply. Refunds required by applicable consumer protection law will be honoured.
- 7.5 Taxes: You are responsible for any applicable taxes, duties, or government charges associated with your use of the Services, except where we are legally required to collect and remit such taxes.
- 7.6 Insurance: Stealth Health may or may not accept insurance. You are solely responsible for verifying coverage with your insurance provider. Services not covered by insurance are your financial responsibility.
- 7.7 Itemized Lab Pricing (New York and New Jersey Residents): Patients residing in New York and New Jersey have the right under their respective state patient billing laws to request an itemized price list from Stealth Health for their laboratory tests. To request an itemized list, contact us at support@stealth.health and we will provide the requested information in accordance with applicable state law.
- 7.8 No-Show and Cancellation Policy (Synchronous Consultations): To be scheduled for a synchronous (live video) consultation, patients must confirm their availability for the designated appointment time. By confirming, you agree to the following:
- No-Show Fee: If you fail to join your scheduled video consultation without prior cancellation, a $25 no-show fee will be charged to your payment method on file. This fee partially offsets the cost of the reserved provider time.
- Cancellation: To avoid the no-show fee, you must cancel or request to reschedule your appointment in advance by contacting support@stealth.health. We ask that you provide as much notice as possible so your slot can be offered to another patient.
- Refund: If a no-show fee is applied, any remaining balance paid for the consultation will be refunded to your original payment method within 5–10 business days.
- What constitutes a no-show: A patient is considered a no-show if they do not join the video consultation within the designated appointment window and have not contacted us in advance.
8. Products, Compounded Medications, and Supplements
Certain products available through the Services, including compounded pharmaceutical products and wellness supplements, are subject to the following additional terms:
- Compounded medications are prepared by licensed compounding pharmacies based on a Provider's prescription. These medications are not FDA-approved or Health Canada-approved in the same manner as commercially manufactured drugs, though the individual ingredients used may be approved.
- You acknowledge that compounded medications carry inherent risks, including variability in formulation, and that your Provider has discussed these risks with you.
- Supplements and wellness products offered through the platform are not intended to diagnose, treat, cure, or prevent any disease unless otherwise indicated by a Provider.
- All products are for personal use only and may not be resold.
- Stealth Health is not the manufacturer of compounded medications or supplements and does not guarantee their efficacy or safety beyond facilitating their prescription and fulfillment by licensed third parties.
9. Intellectual Property
All content, materials, software, trademarks, logos, trade names, and other intellectual property associated with the Services ("Stealth Health IP") are owned by or licensed to Stealth Health and are protected by applicable intellectual property laws in Canada, the United States, and internationally.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use in accordance with these Terms. You may not:
- Copy, modify, distribute, sell, lease, or create derivative works based on any Stealth Health IP.
- Reverse-engineer, decompile, or disassemble any software or technology used in the Services.
- Use automated means (bots, scrapers, etc.) to access the Services without our prior written consent.
- Use any Stealth Health IP in a manner that could disparage, tarnish, or damage our reputation.
10. Privacy and Data Protection
Your privacy is important to us. Our collection, use, disclosure, and protection of your personal and health information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
By using the Services, you consent to the collection, use, and disclosure of your information as described in our Privacy Policy. We comply with applicable privacy and data protection laws, including:
- In Canada: The Personal Information Protection and Electronic Documents Act (PIPEDA), the Personal Health Information Protection Act (PHIPA) in Ontario, and applicable provincial health privacy legislation.
- In the United States: The Health Insurance Portability and Accountability Act (HIPAA), applicable state privacy laws, and state-specific telehealth regulations.
You acknowledge that your information may be transferred between Canada and the United States as necessary to provide the Services, and you consent to such cross-border transfer in accordance with applicable law.
11. Disclaimers
Disclaimer of Warranties
THE SERVICES, INCLUDING ALL CONTENT, SOFTWARE, AND FUNCTIONS MADE AVAILABLE ON OR ACCESSED THROUGH THE SERVICES, ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
Without limiting the generality of the foregoing, Stealth Health does not warrant or guarantee:
- The accuracy, completeness, or reliability of any diagnosis, treatment recommendation, or information provided by a Provider.
- That the Services will meet your requirements or expectations.
- That any particular medication, compounded product, or supplement will be effective for your condition.
- The continuous, uninterrupted availability of the Services.
Medical care involves inherent uncertainties, and outcomes cannot be guaranteed.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Stealth Health, its affiliates, subsidiaries (including Stealth Health Inc. and Stealth Health Holdco, LLC), officers, directors, employees, Providers, agents, licensors, and suppliers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to damages for loss of profits, goodwill, data, or other intangible losses, arising out of or in connection with:
- Your use of or inability to use the Services.
- Any errors, omissions, or inaccuracies in diagnoses, treatments, or medical advice.
- Unauthorized access to or alteration of your data or transmissions.
- Any adverse effects from medications, compounded products, or supplements prescribed or recommended through the Services.
- The conduct of any third party, including Providers, pharmacies, or partner organizations.
- Service interruptions, delays, or failures due to technical issues.
OUR TOTAL AGGREGATE LIABILITY to you for all claims arising out of or relating to these Terms or the Services shall not exceed the greater of (a) the total amount you paid to Stealth Health during the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred dollars ($100 USD / $100 CAD, as applicable).
Some jurisdictions, including certain Canadian provinces, do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by applicable law. Nothing in these Terms excludes or limits liability that cannot be lawfully excluded or limited.
13. Indemnification
You agree to indemnify, defend, and hold harmless Stealth Health, its affiliates, subsidiaries, officers, directors, employees, Providers, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' and legal fees) arising out of or related to:
- Your breach of these Terms.
- Your use or misuse of the Services.
- Any information you provide that is inaccurate, incomplete, or misleading.
- Your violation of any applicable law or regulation.
- Your infringement of any third-party rights.
14. Termination
- 14.1 By Stealth Health: We may suspend or terminate your access to the Services at any time, with or without cause, including for breach of these Terms, suspected fraudulent activity, or as required by law. Where practicable, we will provide notice prior to termination.
- 14.2 By You: You may terminate your account at any time by contacting support@stealth.health. Termination does not relieve you of any obligations incurred prior to termination, including payment obligations.
- 14.3 Effect of Termination: Upon termination, your right to access and use the Services ceases immediately. We may retain your health records as required by applicable medical record retention laws. Sections of these Terms that by their nature should survive termination (including Disclaimers, Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution) shall survive.
15. Governing Law and Dispute Resolution
- 15.1 Canadian Users: If your agreement is with Stealth Health Inc. (Canada), these Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. You agree to submit to the exclusive jurisdiction of the courts of the Province of Ontario for the resolution of any disputes arising under these Terms, subject to any mandatory consumer protection laws of your province of residence that may override this provision.
- 15.2 United States Users: If your agreement is with Stealth Health Holdco, LLC (United States), these Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of laws principles. Any disputes arising under these Terms shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its then-current Consumer Arbitration Rules, except that either party may seek injunctive or equitable relief in a court of competent jurisdiction. The arbitration shall be conducted on an individual basis; class arbitrations and class actions are waived to the maximum extent permitted by law.
- 15.3 Small Claims: Notwithstanding the above, either party may bring an individual action in small claims court in the applicable jurisdiction, provided the claim falls within that court's jurisdictional limits.
16. Electronic Communications
By using the Services, you consent to receiving electronic communications from Stealth Health, including account notifications, appointment reminders, treatment updates, billing statements, legal notices, and promotional materials (where you have opted in). Electronic communications satisfy any legal requirement that such communications be in writing.
You may opt out of promotional communications at any time by following the unsubscribe instructions in the communication or by contacting us. You may not opt out of transactional communications related to your account or care.
17. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated to you by email, in-app notification, or by posting a prominent notice on our website, at least thirty (30) days prior to the effective date of the change (or such longer period as may be required by applicable law). Your continued use of the Services after the effective date of any modification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue your use of the Services.
18. General Provisions
- Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
- Waiver: The failure of Stealth Health to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
- Assignment: We may assign or transfer these Terms, in whole or in part, without your prior consent. You may not assign or transfer these Terms without our prior written approval.
- Force Majeure: Stealth Health shall not be liable for any failure or delay in performance due to events beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, internet or telecommunications failures, cyberattacks, or power outages.
- Entire Agreement: These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Stealth Health with respect to the Services and supersede all prior or contemporaneous agreements, communications, and proposals.
- Language: The parties acknowledge that they have required these Terms and all related documents to be drawn up in English. Les parties reconnaissent avoir exigé la rédaction en anglais des présentes modalités et de tous les documents connexes.
- No Third-Party Beneficiaries: These Terms do not confer any rights, remedies, or benefits upon any person or entity other than the parties hereto, except as expressly provided herein.
